General Terms of Contracting and Use

These Terms govern access to and use of rocafish.com and the contracting of the services offered through the platform.
1. Who we are

2. Scope and acceptance
- Service intended exclusively for professionals/companies (B2B).
- By using the Website or contracting, you accept these Terms and the Privacy Policy and Cookies Policy.
- The reference language is Spanish; in case of discrepancy, the Spanish version shall prevail.
3. Account and verification
- Use requires registration and KYB/KYC verification.
- You must provide accurate information and keep it up to date.
- Rocafish may suspend or cancel accounts for misuse.
4. Use of the platform
- Publishing standardized RFQs and receiving comparable offers.
- Prohibited: false information, unlawful use, infringement of third-party rights, or any action affecting platform security.
- Rocafish acts as an intermediation platform; it is not the buyer or seller unless expressly agreed.
5. “Founding Members” program
- Annual subscription with promotional conditions indicated on the Founders landing page.
- Benefits include: priority onboarding, RFQ access, support and features described on the Website.
- Prices and promotional benefits may be updated; those in force at the time of contracting apply.
6. Contracting and signature
- Transactions are formalized through a Master Agreement and Purchase/Sales Orders (PO) signed with e-signature (eIDAS).
- In case of discrepancy, what is agreed in the Master Agreement/PO prevails over these Terms.
7. Payments, escrow and fees
- Payments are made through an escrow service operated by an authorized PSP.
- Split fee: platform fees are split as indicated in the PO/escrow.
- Funds are released against the agreed documentation/inspection (e.g., BL, packing list, health certificate).
- Fees and commissions are shown on the Website/PO and may vary for future contracts.
8. Renewals, termination and cancellation
- The subscription is annual and may be renewed.
- You may choose not to renew by notifying before expiry.
- As this is B2B, consumer withdrawal rights do not apply. Fees for the current period are non-refundable except where legally required or due to a service fault attributable to Rocafish.
9. Compliance and documentation
- Parties must comply with applicable regulations (IUU/CATCH, health, origin, customs, etc.) and provide required documentation in due time and form.
10. Intellectual property
- The platform, logos and contents are owned by Rocafish or third-party licensors.
- Copying, reverse engineering or massive data extraction is prohibited.
11. Data protection
- We process data in accordance with the Privacy Policy.
- Where applicable, data processing agreements may be executed with involved third parties (PSP, e-signature providers, etc.).
12. Liability
- The platform is provided “as is”. Rocafish does not guarantee uninterrupted availability.
- Rocafish is not liable for buyer/seller breaches or events beyond its reasonable control.
13. Applicable law and jurisdiction
These Terms are governed by Spanish law. In B2B matters, the parties submit to the Courts of Las Palmas de Gran Canaria, expressly waiving any other jurisdiction, unless mandatory law provides otherwise.
